By-Laws
By-laws are the regulations of a corporation subject to statutory law and the articles of incorporation. By-laws provide the basic rules for the conduct of the corporation's business and affairs. In other words, it is the document that contains the ground rules by which a company is run. By-laws normally establish such matters as the titles and duties of executive officers, the timing and procedures for board meetings, dues and the manner for conducting the annual shareholder meeting.
